("M9000," "we," "us," or "our") governing your access to and use of the M9000 platform, website (www.m9000.com), APIs, SMS/text messaging services, and all related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. If you do not agree, do not access or use the Services.

M9000 provides a high-performance, multi-tenant data platform that includes:

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate your account at any time if we reasonably believe you have violated these Terms or if required by law. You may terminate your account at any time by contacting us.

5. SMS/Text Messaging Terms

This section applies if you opt in to receive SMS/text messages from M9000.

5.1 Consent

By providing your mobile phone number and opting in, you consent to receive SMS/text messages from M9000 at the number provided. You understand that consent is not required as a condition of purchase. You can opt in through our website, account settings, or by contacting our team.

5.2 Message Content and Frequency

Messages may include account notifications, service alerts, system status updates, security notifications, product updates, and promotional communications. Message frequency varies based on account activity. Promotional messages will not exceed 4 per month.

5.3 Opt-Out

You may opt out of SMS/text messages at any time by replying STOP to any message from us. You may also opt out by emailing support@m9000.com or updating your account settings. After opting out, you will receive a one-time confirmation message and will no longer receive SMS messages from us unless you opt in again.

5.5 Costs

Message and data rates may apply. M9000 does not charge for SMS messages, but your mobile carrier's standard messaging rates apply. Check with your carrier for details about your text messaging plan.

5.6 Supported Carriers

SMS messages are supported on major U.S. carriers. Carriers are not liable for delayed or undelivered messages.

6. Intellectual Property

6.1 Our Intellectual Property

The Services, including all software, APIs, documentation, designs, text, graphics, logos, and other content, are the property of M9000 or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from our content without our prior written consent.

6.2 Your Content

You retain ownership of all data and content you submit to the Services ("Your Content"). By submitting Your Content, you grant M9000 a non-exclusive, worldwide license to use, store, and process Your Content solely for the purpose of providing the Services to you. We will not use Your Content for any other purpose without your consent.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Services, you grant M9000 a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation to you.

7. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to the data practices described in our Privacy Policy.

8. Service Level and Availability

We strive to maintain high availability of the Services but do not guarantee uninterrupted or error-free operation. The Services are provided on an "as available" basis. We may perform scheduled maintenance that temporarily limits availability, and will make reasonable efforts to provide advance notice of planned downtime.

9. Fees and Payment

Certain features of the Services may require payment of fees. If applicable, fees will be specified in a separate order form or subscription agreement. You agree to pay all applicable fees in accordance with the payment terms specified. All fees are non-refundable except as expressly set forth in these Terms or a separate agreement.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

M9000 DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL M9000, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

M9000'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO M9000 IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless M9000 and its officers, directors, employees, agents, and licensors from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) Your Content.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of such courts.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Effective Date." Your continued use of the Services after such changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you should discontinue use of the Services.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable order forms or subscription agreements, constitute the entire agreement between you and M9000 regarding the Services.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

The failure of M9000 to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. M9000 may assign these Terms without restriction.

15.5 Force Majeure

M9000 shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, labor disputes, government actions, power failures, or Internet disturbances.
